“Samana Group OFF GRID FARM” Competition Terms and Conditions

  1. General Terms
    1. These terms and conditions (hereinafter, the “Terms and Conditions”) determine the rules of registration and conduct of the architectural competition named “OFF GRID FARM by Samana Group” (hereinafter, the “Competition”) available for registration at the SANDBOX online architectural Competition platform – sandbox.archi (hereinafter, the “Platform”).
    2. SANDBOX is the trading brand of HSRZ Marcin Husarz, email address: hello@sandbox.archi (hereinafter, the “Organizer”).
    3. The Competition is conducted by the Organizer in cooperation with Samana Group Holdings (hereinafter, the “Partner”).
    4. The Competition is open for registration to any person or team eligible under these Terms and Conditions.
    5. Organizer reserves the right to update or amend these Terms and Conditions at any time. By using the Platform and registering for the Competition, the registered person or team (hereinafter, the “Participant”) fully and irrevocably agrees to these Terms and Conditions, which, together with the Platform terms and conditions (hereinafter, the “Website Terms and Conditions”) form a contract between the Participant and the Organizer. Please review them carefully.
    6. The use and disclosure of personal information provided by the Participant is subject to the Platform Privacy Policy and Cookies Policy. Please read these documents before using the Platform or providing any personal information within the Platform.
  1. Registration rules
    1. Any person or team eligible under these Terms and Conditions and the Website Terms and Conditions has the right to apply for participation in the Competition.
    2. The participation in the Competition is only possible after registering for the Competition and submitting of a Competition project (hereinafter, the “Submission”) in accordance with these Terms and Conditions and Competition requirements defined by Organizer in a separate document (hereinafter, the “Competition Brief”).
    3. Competition is open worldwide to any young designer and/or student aged 18 and over and under the age of 35.
    4. A student is someone who is currently enrolled in a full-time graduate/undergraduate program at a university anywhere in the world on the date of Registration (hereinafter, the “Student”). In order to confirm Student status, the Participant will be asked to present a valid student ID or other document issued by the school.
    5. Participant (also applicable to eligible team in case if at least one of team members complies) cannot participate in a Competition and will be immediately disqualified and forfeit all of prizes if Participant (or, if applicable, its team member) is or become:
      1. a minor under age 18;
      2. an adult over age 35;
      3. otherwise prohibited by applicable export controls and sanctions programs;
      4. a resident anywhere that a competitions are prohibited by law;
      5. a current employee, intern, contractor, officer, director of the Organizer or the Jury (as defined as in Section 6.1 of these Terms and Conditions), their associate or family member.
    6. By registering for the Competition and/or providing a Submission the Participant expressly and unequivocally certifies full compliance with any and all eligibility requirements.
    7. The Organizer reserves the right to verify Participant’s eligibility and to adjudicate any dispute regarding eligibility at its sole discretion. Participant agree to provide the Organizer with any proof of eligibility requested, and refusal or failure to provide such proof within 5 (five) working days of Organizer’s request will result in disqualification from a Competition and forfeiture of any prizes.
    8. To participate in a Competition, a Participant registers through the Platform registration panel (hereinafter, the “Registration”) compiled and administered by the Organizer under these rules:
      1. Participant may register either individually or as a team by completing and submitting true and accurate information on the Registration form provided by Organizer (hereinafter, the “Registration Form”);
      2. Participant teams are restricted to a maximum of 4 (four) persons;
      3. Completed Registration Form will be processed by the Organizer once the registration fee required for applying for the Competition in the amount set out in Competition Brief (hereinafter, the “Registration Fee”) has been paid in accordance with these Terms and Conditions;
      4. Once the Registration Fee is received by the Organizer, the Participant will receive an automatically generated confirmation email containing a unique registration number (hereinafter, the “Registration Number”) to upload the Submissions through the Platform.
      5. The Organizer is entitled to transfer Participant’s data to the Jury (as defined in Section 6.1 of these Terms and Conditions) only after selecting Winners.
    9. By registering for a Competition and/or providing any Submission the Participant agrees to the processing of any personal data and information according to the Platform Privacy Policy and Cookies Policy.
    10. The Organizer reserves the right to change or omit Participant team names, particularly if they are, in the Organizer’s sole opinion, offensive or obscene, or violate the intellectual property rights of others. If Participant creates team name that is offensive or obscene, or violates the intellectual property rights of others (in each case, as determined at the Organizer’s sole discretion), such team may be disqualified from the Competition.
    11. Participants will be disqualified if non-compliance with the above restrictions for participants, also in case of providing false information about Participant during registration or concerning eligibility.
  1. Registration Fee
    1. A Registration Fee is charged when applying for the Competition through the Platform.
    2. Upon the full and complete filling of Registration Form the Participant must effect payment of the Registration Fee for the Competition.
    3. Students have the right to pay reduced entry fees. If the submission is done by a team, all members have to be Students to qualify for the reduced entry fee.
    4. The Registration Fee is a payment for registration for the Competition, for data processing and for covering administrative costs.
    5. At the time of payment of the Registration Fee the Participant undertakes to ensure that there are sufficient funds in his/her chosen payment method account to pay the full Registration Fee.
    6. The Participant is warned that if there are insufficient funds in the Participant’s account at the time of payment of the Registration Fee, the Participant is obliged to contact the Organizer immediately and request an alternative method of payment. In case the Participant does not contact the Organizer and does not request to be given an alternative method of payment within 6 (six) working days from the day of payment delay, the Participant is being disqualified from the Competition, all prizes will be revoked and the already paid Registration Fee is not refunded.
    7. The Participant agrees that in case of non-payment of the Registration Fee, the Organizer is entitled to apply to the debt collectors of the respective country and to the courts with claims for recovery of the unpaid Registration. In this case, in addition to the Registration Fee, the Participant will be charged all costs related to debt collection, including court fees, debt collection costs, legal fees, etc. payments. Subsequent payment or recovery of the Registration Fee shall not renew the participation of disqualified Participant in the Competition and does not entitle the Participant to receive any award.
    8. The Registration Fee is non-refundable except if the Competition is suspended.
    9. The Participant is responsible for all costs and disbursements incurred in preparing a Submission. The Participant is not entitled to claim the repayment of Registration Fee and/or the reimbursement any of its expenses related thereto.
    10. Payment of the Registration Fee is made with the payment methods available on the Platform in USD through PayPal, by credit or debit card.
  1. Submissions
    1. All Submissions must be the original work of the Participant. The visual materials of the Submission must not have been previously published by any of the Participant or its team members.
    2. The Participant confirms that the Submission does not infringe any copyright, rights related to trademarks, trade secrets, designs or patents of any third party.
    3. The Participant shall be ready to supply copyright licenses for images used if requested by Organizer. A failure to supply such licenses within the period specified by Organizer may be grounds for disqualification.
    4. The Participant assumes full liability for any infringement of rights and acknowledges that any Submission in any breach of these rights may be immediately disqualified. In the event that a third-party asserts infringement of intellectual property rights against Organizer, the Participant shall be liable for all costs in relation to acts required to defend against such actions.
    5. All Submissions must strictly and completely conform to the Terms and Conditions and the rules and guidelines set out in the Competition Brief.
    6. All Submissions must be made solely through the specified upload panel within the Platform, access to which is granted upon successful Registration and payment of Registration Fee. Submissions received by email or any other delivery method will not be considered.
    7. The Participant may continue to upload Submissions and/or edits through the specified upload panel within the Platform until 24.00, London Time, on the date of the Submission deadline. Participant is responsible for determining the corresponding time in his/her time zone.
    8. Except expressly provided under these Terms and Conditions Organizer is not obliged to disseminate, distribute, publish or otherwise make public the Submission or any other information, content and works uploaded by the Participant via the Platform or provided in any other delivery method.
    9. Any Submissions that do not comply with these Terms and Conditions, the Competition Brief or other applicable requirements will be disqualified.
    10. All Submissions received by the Organizer after the closing date and time for Submission as defined in the Competition Brief will be automatically disqualified.
    11. In case the Participant does not pay the Registration Fee at the time of registration, the Participant will be automatically disqualified from participating in the Competition and the prizes received by the Participant will be revoked.
    12. The Organizer will notify Participant regarding the disqualification of a Submission. Nevertheless, the Organizer is under no obligation to refund any Registration Fee. Should a winning Submission be disqualified, the Participant shall be obliged to immediately return any prize monies awarded.
  1. Cancellation
    1. The Organizer reserves the right to cancel or suspend the Competition or alter the Terms and Conditions and/or the Competition Brief and/or other applicable requirements at any time and stage at its own discretion, including but limited if it is considered necessary or if circumstances arise outside of its control.
    2. In a case of suspension of a Competition the Registration Fees of Participant shall be returned.
  1. Impartial Jury
    1. Each Submission will be judged by a jury of renowned architecture professionals appointed by the Organizer (hereinafter, the “Jury”) which will consider each Submission fairly, without favoring or discriminating against anyone.
    2. The Jury shall be announced on the Platform and in the Competition Brief. Any changes to the Jury shall be at the Organizer’s discretion.
    3. The Organizer reserves the right to assign judges, agents, or other authorized administrator to administer the Competition, including making any decision or exercising such decisions at its discretion.
    4. Prior to registering for the Competition, Participants are advised to seek information about the Jury from the Organizer, since establishing and maintaining eligibility for the duration of the Competition is the sole responsibility of each Participant.
    5. To keep the Competitionintegrity the identity of the Participants shall be hidden.
    6. The Participant must ensure that Submissions do not include any marks, logos, symbols, or signs that may identify its authority or source. Any breach of these rules will lead to immediate disqualification.
    7. The Participant may not approach, communicate with or address by any means any member of the Jury or Organizer nor their associates or family members during the Competition. Any breach of these rules will lead to immediate disqualification and prize revocation (if applicable).
    8. The Jury will be made aware of a Participant’s identity only after the Winners are selected.
  1. Selection of Winners
    1. After assessing all Submissions in accordance with the evaluation criteria laid down in the Competition Brief and other requirements contained in these Terms and Conditions, among 20 (twenty) finalists shortlisted by the Organizer together with the Partner, the following winners will be selected:
      1. 3 (three) winners selected by the Jury:
        1. 1st Prize,
        2. 2nd Prize,
        3. 3rd Prize; and
      2. 2 (two) Special Awards selected by the Partner;

      (hereinafter, individually the “Winner” and collectively the “Winners”).
      The decision upon Winners is final, no appeals will be allowed and no further communication will be entered into by the Organizer either with Participant, the Partner or judges.

    2. If the Participant whose Submission has been selected as the Winner cannot accept, receive or becomes ineligible for the prize for any reason, the Prize or the Special Award is awarded to the next highest ranked Participant. In this case, the person who cannot accept, receive or becomes ineligible for the prize is not entitled to request a later transfer of the prize from the Organizer, the Partner or the Winner.
    3. Unless stated otherwise in the Competition Brief, the association and/or relationship of Organizer with any member of the Jury does not imply any contract, partnership, agency relationship or endorsement of any member of the Jury.
    4. Participant is solely responsible for complying with all applicable tax laws and filing requirements, as well as for paying all taxes, duties, and other fees imposed on prizes awarded.
  1. Awards
    1. The monetary awards specified in Competition Brief (hereinafter, the “Prize”) will be awarded to the Winners of the 1st PRIZE, 2nd PRIZE and 3rd PRIZE defined under Section 7.1.1. above, selected by the Jury and announced by the Organizer.
    2. The non-monetary awards specified in Competition Brief (hereinafter, the “Special Award”) will be awarded by the Partner to the Winners of the two special nominations defined under Section 7.1.2. above, selected by the Partner and announced by the Organizer.
    3. To allow time for any public concerns regarding copyright claims or plagiarism, to be fully addressed, the Organizer will endeavor to confirm the acceptance of the Prize or the Special Award with the Winner within 30 (thirty) business days after notification of the decision of the Jury or, respectively, the Partner, by sending to the Organizer a signed statement from the Winner.
    4. The Winner will have 7 (seven) business days to confirm the acceptance of the Prize or the Special Award by sending to Organizer a signed acceptance statement.
    5. The Prize will be paid in one installment by wire transfer to the bank account indicated by the Winner within 7 (seven) business days upon receiving a signed statement from the Participant selected as a Prize Winner.
    6. The Special Award will be handed over to the Winner upon receiving a signed statement from the Participant selected as a Special Award Winner. The formalities for the handover of the Special Award will be arranged individually with the Winner by the Partner.
    7. The Winner hereby confirms its binding commitment to engage and cooperate with the Organizer and the Partner after announcing the winning Submission. The Organizer nor the Partner undertakes no promise or commitment to construct the project embodied in the Submission or as envisioned in the Submission.
  1. Intellectual Property
    1. Intellectual property rights include all rights to the materials provided by the Participant within the Submission, including but not limited to copyright, trademarks, service marks, trade names, design rights, patents, know-how, trade secrets, inventions and other forms of intellectual or industrial property, whether registered or unregistered, and all applications for the same (hereinafter, the “Intellectual Property Rights”).
    2. Upon providing the Submission, the Participant and/or each member of its team, grants to Organizer an unrestricted, worldwide, irrevocable and royalty-free non-exclusive license to the Intellectual Property Rights of the Submission and/or any part thereof with the right to sublicense or grant any further consents regarding the use of such rights (“License”) as follows: publicly display by any means and in any media; to copy, modify, translate and/or adapt, archive and distribute for publicity purposes without any further notice or remuneration to the Participant.
    3. The License is unconditional and irrevocably binding upon the Participant when and if the Submission is submitted in accordance with Terms and Conditions.
    4. The Organizer has the rights, but is not obliged to use all or any of the Intellectual Property Rights licensed above.
    5. Each Participant hereby agrees to transfer and assign the entirety of Intellectual Property Rights in the Submission to the Organizer (“Assignment”) if the Submission has been declared as any Winner of a Competition, regardless of the amount of the Prize or the type of Special Award awarded. The rights transferred are all those necessary to adapt, develop, construct, modify, and in any and all ways use the Project described in the Submission. The Organizer will be entitled to further transfer and assign, license or consent for any use of any and all Intellectual Property Rights to the winning Submissions within its own discretion.
    6. The Assignment is irrevocably binding upon the Participant when and if the Submission is selected as a Winner and the Organizer receives an acceptance statement signed by the Winner.
    7. The Assignment is unconditional. The Participant acknowledges that, once the Assignment becomes binding, the Participant shall retain no further Intellectual Property Rights in the Submission.
    8. The rights in any Submission not being recognized as a winning Submission shall be retained by the Participant subject to the license of Intellectual Property Rights granted by Participant to the Organizer as described above.
    9. All credits in connection with the Submission are associated with the registered name of Participant. After selection of Winner, Organizer shall make a reasonable effort to display the author’s name on any Submission whenever published or otherwise featured.
    10. The Participant undertakes to not exploit any of its personal rights arising out of the Intellectual Property Rights in any time and manner contrary to the interests of the Organizer.
    11. By uploading the Submission on the Platform the Participant warrants and represents that:
      1. the Submission is an original work, and has not been copied wholly or substantially from any other work or material or any other source;
      2. the exploitation of the rights licensed to Organizer will not infringe the rights of any third parties; the Participant shall use its best attention and efforts to duly check before uploading the Submission whether the Submission do not infringe the rights of any third parties.
    12. By registering or providing a Submission, the Participant agrees to release, discharge and hold harmless the Organizer,its partners, representatives and judges as well as the Partner and its partners and representatives from any claims, losses, damages, expenses and liabilities (including attorney’s fees and settlement fees) arising out of or in connection with the involvement of Participant in a Competition, the provision of any Submission, any exploitation of Submission by the Organizer and/or the Partner, including any infringement of Intellectual Property Rights, or any other activities of Participant related to a Competition.
    13. By registering for the Competition, the Participant acknowledges and agrees that all aspects of any Submission (including, but not limited to, narratives, descriptions, details, images, illustrations, photographs, and animations and names and images of the Participants) may be used by the Organizer and/or the Partner for publicity purposes.
    14. The Participant agrees to participate in the promotional activities and the publicity arrangements for the Competition. The Organizer and the Partner are authorized to use any and all statements made by the Participant in connection with the Competition without additional approval and consent.
    15. The Organizer reserves the right to undertake promotional activities and/or publicity arrangements through the Platform or any other channel, as well as to discontinue any of its activities and/or arrangements at any time.
    16. Publications advertised or referenced in the Competition Brief are not binding on the Organizer. The Organizer shall make every effort to follow the announced publication schedule, but cannot be held responsible for publishers’ decisions.
    17. The Participant acknowledges that the benefits and profits, including the promotions and advertisements or the Prize or Special Award in case of Winners, are sufficient and appropriate remuneration for the Intellectual Property Rights licensed or assigned to the Organize. No additional compensation is due to Participant.
  1. Others
    1. The validity, construction and performance of these Terms and Conditions, as well as the legal relations among the Participant and the Organizer are governed by and construed in accordance with the laws of Poland.
    2. By registering or providing a Submission to a Competition, the Participant agrees that any disputes, claims and causes of action between the Participant and the Organizer arising out of or connected with a Competition or any prize awarded shall be solved in negotiations between the involved parties in good faith under the spirit of fair treatment by parties towards each other.
    3. If the involved parties fail to reach an amicable solution, the disputes arising out of these Terms and Conditions shall be subject to the exclusive jurisdiction of the Polish courts, designated based on Organizer’s seat.
    4. If any of the provisions of these Terms and Conditions are held by any court or tribunals having jurisdiction to be illegal, invalid or unenforceable, then the Terms and Conditions shall remain in force as if such illegal, invalid or unenforceable provision never existed.
    5. This Terms and Conditions shall apply worldwide.
    6. The Organizer has the right to unilaterally revise, amend or change the Terms and Conditions, supplement, change, limit, and expand the functional possibilities of the Platform, as well as unilaterally change the payment procedure and prices without any special notice to the Participant .
    7. When making changes in the current wording of the Terms and Conditions, the date of the last amendment is indicated.
    8. The new wording of the Terms and Conditions shall enter into force from the moment of its posting on the Platform.
